This User Agreement (the “Agreement”) governs your access to and use of the Skillsara Inc. websites, mobile applications, and related services (collectively, the “Platform”), including www.skillsara.online and its associated applications. The Platform is owned and operated by Skillsara Inc. (“Skillsara,” “we,” “us,” or “our”). By accessing or using the Platform, you agree to the terms and conditions outlined in this Agreement.


1. Eligibility

You may use the Platform only if you can form a legally binding contract under applicable Canadian laws. By creating an account or accessing the Platform, you represent and warrant that:

  • For Students: You are at least 18 years old or have obtained verifiable consent from a parent or legal guardian if under 18.
  • For Tutors: You are at least 18 years old and meet any additional eligibility requirements provided by Skillsara.

2. Additional Terms and Guidelines

Access and use of the Platform may be subject to additional policies, guidelines, or terms provided to you, all of which are incorporated by reference into this Agreement.


3. Data Privacy

Skillsara is committed to protecting your privacy in compliance with the Personal Information Protection and Electronic Documents Act (PIPEDA). Please review our Privacy Policy for details on how your personal information is collected, used, and shared.

  • Students and Tutors: Personal information shared as part of the Platform will be handled in accordance with applicable laws.
  • Tutors:
    You are responsible for handling any personal data received from students in compliance with privacy laws. Specifically:

    • Use Student Data only for tutoring purposes, such as:
      • Scheduling sessions.
      • Providing lesson feedback or progress reports.
      • Communicating with students or guardians for tutoring-related matters.
    • Do not disclose Student Data to unauthorized parties.
    • Delete all Student Data at the end of the tutor-student relationship or upon request.

4. Modifications

Skillsara reserves the right to modify this Agreement at any time. Material changes will be communicated to you via email, notifications on the Platform, or other appropriate methods. Continued use of the Platform after such changes take effect constitutes your acceptance of the updated Agreement.


5. Accounts

To use the Platform, you must create an account and provide accurate and complete information. You are solely responsible for:

  • Safeguarding your account credentials.
  • Notifying Skillsara immediately if you suspect unauthorized use of your account.
  • Maintaining the confidentiality of your account details.

Skillsara reserves the right to suspend or terminate accounts that violate this Agreement.


6. License to Use the Platform

Skillsara grants you a limited, non-exclusive, non-transferable license to access and use the Platform for its intended purposes. This license may be revoked if you breach this Agreement.

You agree not to:

  • Modify, copy, or distribute any content from the Platform without authorization.
  • Use the Platform for unlawful purposes or in violation of Canadian laws.

7. Restrictions

You may not:

  • Interfere with or disrupt the functionality of the Platform.
  • Misuse the Platform for spamming, fraudulent activities, or unauthorized access.
  • Engage in behavior that violates intellectual property rights or is abusive, threatening, or defamatory.

8. User Content

You retain ownership of any content you submit, but you grant Skillsara a non-exclusive, royalty-free license to use, modify, and display your content in connection with the operation of the Platform.

Your content must not:

  • Infringe upon the rights of others.
  • Contain harmful or objectionable material.
  • Violate Skillsara’s guidelines or policies.

9. Monitoring

Skillsara reserves the right to monitor user interactions to ensure compliance with this Agreement. Violations may result in the removal of content or suspension of accounts.


10. Payments, Cancellations, and Refunds

Payments:

  • Billing Currency:
    • Payments will be processed in CAD. If your payment method’s billing currency differs, additional transaction or foreign exchange fees may apply. Skillsara is not responsible for such charges.

Cancellations and Refunds:

  • Refund Policy:
    1. 7 days before course start: A 100% refund will be provided with written notification.
    2. Within 24 hours of the first class: Refunds will be issued, minus an administrative fee as decided by Skillsara Inc.
    3. After 24 hours of the first class: A 50% refund will be provided.

Refund Policy:

  • Skillsara provides refunds in accordance with the following conditions:
    1. Trial Class Policy:
      • If a scheduled trial class does not take place due to Skillsara’s or the Tutor’s fault, you may request:
        a) A reschedule with the same or a different Tutor.
        b) A full refund of the payment.
    2. General Refund Conditions:
      • After the first class: No refunds will be provided. An administrative fee (as determined by Skillsara) will apply.
      • Within 24 hours after the first class: Refunds will be issued minus the administrative fee.
      • After 24 hours following the first class: A 50% refund will be provided.
    3. Before Course Commencement:
      • A 100% refund will be issued if written cancellation is received 7 days or more before the program start date.
      • No refunds will be issued for requests made less than 7 days prior to the program start date.
    4. Refund Statement:
      • Refunds will be processed in the same form as the original payment.
      • Cash refunds over $20 CAD will be refunded via cheque.
      • Refund requests must include:
        • The date and time of the class.
        • The Tutor’s name.
        • The reason for the refund request.
      • Refund decisions will be communicated within 30 calendar days.

    Refund Exceptions:

    • No refunds will be provided in the following cases:
      • If you fail to submit a refund request within the stated period.
      • If you lose access due to an internet issue, account reset, or device updates.
      • If you forget or misplace login credentials, causing temporary loss of access.

    Auto Refills:

    • Packages or credits purchased on the Platform may be set to auto-refill when a low balance is detected. You may cancel or adjust auto-refill settings in your account preferences at any time.

    Chargebacks:

    • In the event of a chargeback initiated by you, Skillsara reserves the right to suspend access to your account until the matter is resolved. Fees or expenses incurred due to chargebacks will be your responsibility.

    Expired Accounts:

    • Accounts inactive for 180 days will be suspended, and any remaining balance will expire.

    Account Deletion:

    • If you delete your account, any remaining balance will expire.

  • Any payments made via the Skillsara Platform are made solely for the purpose of access, facilitation, and delivery of the tutoring services between Students and Tutors. Such payments may not be made and used for any fraudulent, criminal or illegal activity as defined by the law.

11. Dispute Resolution

  • Skillsara encourages resolution through direct negotiation.
  • If disputes cannot be resolved, they will be settled under the jurisdiction of Canadian courts in Ontario, where Skillsara is headquartered.

12. Intellectual Property

All materials on the Platform, including text, graphics, and software, are owned by Skillsara or its licensors. Unauthorized use of these materials is strictly prohibited.


13. Liability Limitations

To the maximum extent permitted under Canadian law, Skillsara will not be held liable for indirect, incidental, or consequential damages arising from your use of the Platform.


14. Termination

Skillsara may terminate or suspend your account for violations of this Agreement. You may also terminate your account at any time by contacting Skillsara support.


15. Governing Law

This Agreement is governed by the laws of Canada and the province of Ontario, where Skillsara is headquartered. Any disputes will be subject to the exclusive jurisdiction of Canadian courts.
